By downloading, installing, copying, or otherwise using Umbra, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
1. Grant of License
Subject to your compliance with this Agreement and any applicable plan or subscription terms, the Developer grants you a non-exclusive, non-transferable, revocable, limited license to download, install, and use Umbra on compatible devices for personal or internal business purposes.
Umbra is licensed, not sold. You obtain no ownership rights, title, or interest in the Software other than the right to use it pursuant to this Agreement.
2. Your Data and Local-First Architecture
Your content—including your canvases, documents, spreadsheets, notes, and local files—remains your exclusive property. Umbra stores your work locally on your computer in standard file formats.
We do not claim any ownership rights over the files or content you create or edit using Umbra. You are solely responsible for backing up your data and local files.

You agree that you will not, and will not permit or authorize any third party to:
- Copy, modify, adapt, translate, or create derivative works of the Software, except as expressly permitted by applicable law;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of Umbra;
- Rent, lease, lend, sell, sublicense, distribute, publish, or transfer the Software or any portion thereof;
- Remove, alter, or obscure any proprietary notices, labels, or trademarks on or within the Software;
- Use the Software for any unlawful, fraudulent, or malicious purpose, or in violation of any applicable regulations.
4. Subscriptions and Commercial Purchases
Certain features, such as cloud collaboration, relay synchronization, and premium capabilities, may require a paid subscription.
Subscriptions and purchases are processed by Polar Software Inc.as the Merchant of Record. Purchases are subject to Polar’s Buyer Terms (polar.sh/legal/terms), which govern billing, invoices, VAT, and refund policies.
5. Third-Party and Open Source Components
Umbra incorporates certain third-party and open-source libraries (such as GenOffice and BlockSuite components). Each third-party component is used in accordance with its respective open-source license.
Full notices, license texts, and attributions for third-party software are provided on our Attributions page and inside the application.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, OR NON-INFRINGEMENT.
THE DEVELOPER DOES NOT WARRANT THAT UMBRA WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR DEVICE DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE.
